3. Eligibility
You must have the legal capacity to enter into a binding agreement to use our services.
If you are accessing or using our services on behalf of a company, organization, or other entity, you represent that you have the authority to act on behalf of that entity and agree to these Terms on its behalf.
You are responsible for ensuring that your use of our services complies with all applicable laws, regulations, and contractual obligations.
4. Our Services
Mofsil provides customized technology solutions based on individual business requirements.
Depending on the project, our services may involve the design, development, configuration, integration, deployment, maintenance, or optimization of AI systems, software, automation workflows, websites, applications, dashboards, communication systems, or other digital solutions.
Because our services are customized, functionality, deliverables, timelines, integrations, technical requirements, and pricing may differ from one project to another.
The exact scope of work will generally be determined by the applicable proposal, project agreement, statement of work, or other written communication agreed upon by the parties.
5. AI Systems and Automated Technologies
Some Mofsil services use artificial intelligence, machine learning, automation, and other automated technologies.
These may include AI chatbots, AI voice agents, automated workflows, AI-powered applications, data-processing systems, and other intelligent systems.
AI systems may generate responses, recommendations, classifications, summaries, or other outputs automatically.
While we make reasonable efforts to design and configure systems to perform according to the agreed requirements, AI-generated outputs may not always be completely accurate, complete, current, or suitable for every situation.
Clients are responsible for determining whether AI-generated outputs are appropriate for their intended use and for implementing appropriate human review where necessary.
Mofsil does not guarantee that an AI system will always produce a particular result or operate without interruption or error.
6. AI Voice Agents and Automated Communications
Our services may include AI voice agents and other automated communication systems that can interact with customers, prospects, employees, or other individuals.
Depending on the configuration, these systems may:
- Answer or make calls
- Respond to questions
- Qualify leads
- Schedule appointments
- Provide information
- Follow up with contacts
- Transfer calls
- Update CRM records
- Trigger automated workflows
The client is responsible for ensuring that its use of voice agents, automated calling, messaging, recording, and other communication technologies complies with applicable laws and regulations.
Where required, clients are responsible for obtaining appropriate consent, providing required notices, and following applicable rules concerning calls, messages, recordings, marketing communications, and automated systems.
Mofsil does not guarantee that a client's particular use of an automated communication system will comply with every law or regulation applicable to that client.
7. Client Responsibilities
Clients are responsible for providing accurate, complete, and timely information necessary for us to perform the agreed services.
Clients are also responsible for:
- Providing accurate project requirements
- Providing necessary access to systems and platforms
- Maintaining appropriate account permissions
- Reviewing project deliverables
- Providing timely feedback and approvals
- Ensuring that submitted data may lawfully be processed
- Ensuring that their use of our services complies with applicable laws
- Maintaining appropriate backups of their own data
- Maintaining control over their third-party accounts and credentials
Delays caused by missing information, delayed approvals, unavailable systems, or other client-side issues may affect project timelines.
8. Third-Party Platforms and Integrations
Our services may integrate with third-party platforms and services.
These may include CRM platforms, communication tools, cloud services, AI providers, automation platforms, scheduling systems, databases, hosting providers, analytics platforms, and other software.
Examples may include platforms such as:
- HubSpot
- GoHighLevel
- Google Workspace
- n8n
- Zapier
- Twilio
- Vapi
- Supabase
- Other APIs, SaaS platforms, and technology providers
Third-party services are controlled by their respective providers and may have their own terms, pricing, availability, limitations, and privacy policies.
Mofsil is not responsible for outages, changes, restrictions, pricing changes, discontinued features, security incidents, or other issues originating from third-party platforms.
If a third-party service is required for a project, the client may also be responsible for maintaining the necessary account, subscription, credentials, usage limits, and fees associated with that service.
9. Project Scope and Changes
Project scope will generally be established through a proposal, statement of work, project agreement, or other written communication.
Requests that materially change the agreed scope may require additional time, development work, resources, or fees.
Examples of scope changes may include:
- New functionality
- Additional integrations
- Additional pages or applications
- Major design changes
- New automation workflows
- Additional AI agents
- Additional data-processing requirements
- Changes to previously approved requirements
Mofsil may evaluate and agree to additional work separately before implementation.
10. Fees and Payments
Fees for Mofsil services will be communicated through the applicable proposal, agreement, invoice, or other written arrangement.
Depending on the project, fees may be structured as:
- Fixed project fees
- Milestone payments
- Monthly service fees
- Recurring maintenance fees
- Usage-based charges
- Other agreed payment structures
Unless otherwise agreed, third-party software, API, hosting, communication, AI, infrastructure, or platform fees may be separate from Mofsil's service fees.
Clients are responsible for paying invoices according to the agreed payment terms.
Late or unpaid payments may result in delayed work, suspension of services, or other reasonable actions permitted under the applicable agreement.
11. Intellectual Property
Unless otherwise agreed in writing, Mofsil retains ownership of its pre-existing technology, frameworks, libraries, reusable components, templates, methodologies, processes, know-how, tools, systems, and other intellectual property used to provide services.
Client-specific deliverables may be subject to the ownership or usage rights established in the applicable project agreement.
Payment for a project does not automatically transfer ownership of Mofsil's underlying tools, frameworks, reusable code, systems, processes, or intellectual property.
Third-party software, libraries, APIs, AI models, platforms, and other components remain subject to their respective licenses and terms.
12. Client Content and Data
Clients may provide information, files, data, content, credentials, documents, customer information, or other materials for the purpose of providing services.
The client represents that it has the necessary rights and permissions to provide such materials and authorize Mofsil to use them for the agreed services.
The client remains responsible for the legality, accuracy, and appropriate use of information it provides to Mofsil.
Mofsil will use client information in accordance with the applicable agreement, our Privacy Policy, and the requirements of the relevant service.
13. Acceptable Use
You agree not to use Mofsil's website, services, systems, or technology to:
- Violate applicable laws or regulations
- Commit fraud or other unlawful activity
- Attempt unauthorized access to systems or accounts
- Distribute malware or harmful code
- Interfere with the operation or security of our systems
- Abuse or misuse our services
- Infringe intellectual property or privacy rights
- Collect or process information without appropriate authorization
- Use automated systems for unlawful or prohibited communications
- Misrepresent your identity or authorization
- Use our services to facilitate harmful or illegal activities
We may suspend or terminate access where we reasonably believe that a user or client is violating these Terms or creating a security, legal, or operational risk.
14. Service Availability and Changes
We aim to provide reliable services, but we do not guarantee that our website, systems, software, or services will always be available, uninterrupted, error-free, or compatible with every device, platform, or third-party service.
Services may occasionally be unavailable because of:
- Maintenance
- Updates
- Infrastructure issues
- Third-party outages
- Security events
- Internet or network problems
- Changes to external APIs or platforms
- Other circumstances outside our reasonable control
We may also modify, improve, update, or discontinue portions of our services when reasonably necessary.
15. Warranties and Disclaimers
Our services are provided based on the agreed project scope and requirements.
To the maximum extent permitted by applicable law, Mofsil does not guarantee that:
- AI-generated information will always be accurate
- Automated systems will always produce a specific result
- Services will be uninterrupted or error-free
- Third-party platforms will remain available
- A particular business result, revenue increase, lead volume, conversion rate, cost reduction, or return on investment will be achieved
- A system will remain compatible with future versions of third-party software
Any performance estimates, examples, case studies, projections, or results presented by Mofsil are provided for informational purposes and should not be interpreted as guarantees of future performance.
16. Limitation of Liability
To the maximum extent permitted by applicable law, Mofsil will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to the use of our website or services.
This may include losses relating to:
- Lost profits
- Lost revenue
- Lost business opportunities
- Lost data
- Business interruption
- Third-party service failures
- Expected savings or performance not being achieved
Where liability cannot legally be excluded, Mofsil's liability will be limited to the maximum extent permitted by applicable law.
Any specific limitation of liability agreed in a separate project agreement will apply where applicable.
17. Confidentiality
Both parties may receive confidential or non-public information during a business relationship.
Each party agrees to take reasonable steps to protect confidential information and use it only for legitimate purposes related to the business relationship.
Confidential information does not generally include information that:
- Is publicly available
- Was already lawfully known
- Is independently developed
- Is received lawfully from another source without confidentiality obligations
- Must be disclosed by law or legal process
Additional confidentiality requirements may be established through a separate confidentiality or non-disclosure agreement.
18. Termination
Either party may terminate a service relationship according to the applicable project agreement or written arrangement.
Mofsil may suspend or terminate services where reasonably necessary because of:
- Non-payment
- Material breach of these Terms
- Misuse of services
- Security concerns
- Unlawful activity
- Failure to provide required information or access
- Other circumstances that materially prevent us from providing the services
Upon termination, applicable outstanding fees and obligations that arose before termination may remain due.
Certain provisions of these Terms, including intellectual property, confidentiality, disclaimers, limitations of liability, and other provisions that by their nature should continue, may remain effective after termination.
